Noah represents clients in all aspects of investment fund matters, including corporate governance and fiduciary counseling, regulatory compliance and enforcement, litigation, and fund restructuring. His clients have included some of the largest and most sophisticated investment professionals in the world, such as private asset management firms, public pension fund systems, sovereign wealth funds, and development finance institutions. He serves as both a trusted adviser and litigator, drawing on his extensive experience to help his clients navigate high-stakes situations, whether in the boardroom or in the courtroom.

Noah is a former Trial Attorney with the U.S. Department of Justice and a former Assistant United States Attorney for the Western District of Texas. He has worked with senior government officials at all stages of enforcement matters, from investigations through trials, appeals, and at the US Supreme Court. His experience includes numerous matters of national importance, such as the DOJ-led interagency Financial Fraud Enforcement Task Force, the $25 billion National Mortgage Settlement, the National Mortgage Settlement Oversight Committee, SIGTARP oversight, and novel constitutional litigation. Noah has also represented the United States in other investigations and litigation involving investment fraud, public integrity, the Administrative Procedure Act, and bankruptcy matters.

In private practice, Noah enjoys representing clients in a variety of investment fund matters across the globe. He has worked with domestic and international pension funds in fiduciary counseling and implementing investment governance policies and procedures. He has assisted private asset managers in cross-border matters concerning portfolio companies and other assets in markets such as Latin America, Eastern Europe, West Africa, the Middle East, India, and East Asia. He has litigated partnership disputes between LP investors and fund sponsors. And he has advised clients on a variety of fund-related transactions, with an emphasis on risk counseling for fund formation, GP and LP-led secondaries and restructurings, co-investments, joint ventures, and other bespoke legal structures.

Prior to joining Stone Hilton, Noah was the co-lead of the investment funds disputes practice for an international law firm.

Private Practice

  • Developed novel US$1.2 billion state False Claims Act prosecution for a public investment fund
  • Conducted investigation into potential fraud concerning an over US$200 million fund investment
  • Advised institutional investors on LP-lead fund restructuring of US$300 million in fund value
  • Developed successful sovereign immunity defense for public pension fund client in an investment dispute
  • Advised multiple public pension funds on ESG investments and related corporate governance issues
  • Represented credit fund in asset recovery and bankruptcy litigation matters
  • Represented replacement GP in post-removal dispute with former GP over fund control

  • Represented the United States in constitutional dispute concerning the application of the 13th Amendment to federal bankruptcy proceedings
  • Supervised nationwide, multi-district litigation against national banks and mortgage servicers that resulted in the US$25 billion National Mortgage Settlement
  • Assisted the Office of the Solicitor General with over a dozen matters before the Supreme Court
  • Represented the United States in numerous bankruptcy and investment fraud matters, including the Yellowstone Club, Fletcher Asset Management, Petters Group Worldwide, Solyndra, and Lehman Brothers
  • Assisted with joint DOJ-FTC case asserting UDAP claims against Bank of America
  • Advised senior government officials on civil enforcement actions against financial institutions for false claims and fraud on government sponsored entities
  • Assisted with multi-agency fraud investigation into mortgage securitization practices
